1. Geltungsbereich / Scope

DE:
Diese AGB gelten für alle Unternehmen, Agenturen oder sonstige Dritte („Anfragende“), die über das Portfolio oder Media Kit von OMEX Management – Linor Osmani („Agentur“) Zugang zu Creator:innen erhalten – unabhängig davon, ob ein exklusives oder nicht-exklusives Managementverhältnis besteht.

These GTC apply to all companies, agencies, or other third parties ("Inquirers") who gain access to creators through the portfolio or media kit of OMEX Management – Linor Osmani ("Agency"), regardless of whether an exclusive or non-exclusive management relationship exists

2. Vermittlungsschutz / Mediation Protection

DE:
Creator:innen, die durch OMEX Management vorgestellt oder präsentiert werden, gelten als durch die Agentur vermittelt. Eine direkte Kontaktaufnahme mit dem/der Creator:in zur Umgehung der Agentur ist untersagt.

EN:
Creators introduced or presented by OMEX Management are considered as mediated by the Agency. Direct contact for the purpose of bypassing the Agency is prohibited.

3. Agenturpauschale bei Umgehung / Agency Fee in Case of Circumvention

DE:
Kommt es innerhalb von sechs (6) Monaten nach Vorstellung zu einer Kooperation zwischen dem/der Creator:in und dem Unternehmen ohne Beteiligung der Agentur, wird eine Agenturpauschale von 25 % des Nettohonorars fällig. Diese wird dem Unternehmen in Rechnung gestellt.

If a collaboration occurs within six (6) months after the introduction without the Agency's involvement, a 25% agency fee based on the net compensation will be invoiced to the company.

4. Auskunftspflicht / Obligation to Provide Information

DE:
Das Unternehmen verpflichtet sich, der Agentur auf Anfrage vollständige und wahrheitsgemäße Auskunft über Umfang, Vergütung und Inhalte der Kooperation zu geben und entsprechende Nachweise (z. B. Verträge, Rechnungen) bereitzustellen.

EN:
The company agrees to provide truthful and complete details about the cooperation upon request, including documentation (e.g., contracts, invoices).

5. Akzeptanz der Bedingungen / Acceptance of Terms

DE:
Mit Nutzung des Media Kits oder Kontaktaufnahme mit Creator:innen über OMEX Management gelten diese AGB als akzeptiert.

By using the media kit or contacting creators via OMEX Management, these terms are deemed accepted.

6. Gerichtsstand und anwendbares Recht / Jurisdiction and Applicable Law

DE:
Es gilt deutsches Recht. Gerichtsstand ist Neustadt an der Weinstraße, soweit rechtlich zulässig.

EN:
German law applies. Place of jurisdiction is Neustadt an der Weinstraße, Germany, where legally permissible.
